9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMICA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OMICA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO OMICA, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Omica and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

11.1 For Users in the United States

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

11.2 For Users in Mexico

For users located in Mexico, these Terms shall be governed by the applicable federal laws of Mexico (Leyes Federales de los Estados Unidos Mexicanos), including the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor) and the Federal Law for the Protection of Personal Data Held by Private Parties (LFPDPPP), to the extent applicable. Any disputes shall be subject to the jurisdiction of the competent courts in Mexico City (Ciudad de México).

12. Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and post the revised Terms. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Omica regarding your use of the Site.
